| 以河南科技大学第二附属医院为对象，使用问卷调查、深度访谈等方法，对医院法人治理结构改革现状进行分析。结果发现，改革在提升了医院服务质量和社会公信力的同时，仍然存在法人治理结构不规范、医管局权责不明晰、财政补偿机制不完善、内部治理改革所需要的外部条件缺失、产权结构单一等问题。最后提出了相应的完善对策，包括强化政府中立角色和政府责任；推进信息公开与问责制度，完善监督评估机制；完善法人治理管理办法；实施股权结构多元化经营；坚持并完善理事会型法人治理结构。 |

| Efficiency and Countermeasure Analysis of the Reform of the Corporate Governance Structure of State-owned Hospitals |

| Through regarding Second Hospital Affiliated to Henan University of Science and Technology as the objective, and by questionnaire survey and in-depth interview, the current situation of the governance structure of state-owned hospitals is analyzed. The result shows that the main problems include the non-standard corporate governance structure, the unclear HA responsibilities, the imperfect financial compensation mechanisms, the lack of external conditions needed by internal governance reforms and unitary property structure. Finally, corresponding improvement measures are proposed, including reinforcing the neutral role of government and the government responsibility, promoting the information disclosure and the accountability system, improving the monitoring and evaluation mechanisms, improving the corporate governance management approach, implementing the diversified ownership structure, upholding and improving the council based legal governance structure. |
